Roots shareholders to receive $4.50 per share in cash as international brand management firm acquires full ownership to expand global retail footprint.

TORONTO, ON — Iconic Canadian apparel manufacturer Roots Corporation announced Friday that it has entered into a definitive arrangement agreement to be acquired by brand management firm Marquee Brands in an all-cash transaction valued at approximately CAD $285 million.
Under the terms of the agreement, Roots shareholders will receive CAD $4.50 in cash per common share, representing a 38 percent premium over the stock's 30-day volume-weighted average price on the Toronto Stock Exchange.
Roots co-founders Michael Budman and Don Green endorsed the transaction, emphasizing that Marquee Brands' global licensing and digital commerce infrastructure will accelerate international expansion in Asian and European markets.
"Roots has been a beloved Canadian staple for over 50 years," stated Roots CEO Meghan Roach. "Joining Marquee Brands unlocks the scale required to invest in our sustainable Canadian leather manufacturing and premium apparel design while honoring our deep heritage." The transaction is expected to close in the fourth quarter of 2026 subject to shareholder and regulatory approvals.
